Agreement

These terms govern your use of dacitebrands.com and any DACITE page that links to them (the "Site"), operated by DACITE Holdings LLC ("DACITE," "we," "us"). By using the Site you agree to them. If you don't, please don't use it. If you use the Site for an organisation, you confirm you can bind it. Our Privacy Policy explains how we handle personal information.

Portfolio brands, including Corgi Outfitters, Lost State, We Mouse and Fat Head Outdoors, may run their own sites, stores and channels under their own terms, which control there. A separate signed agreement with DACITE, such as a partnership, licensing or services agreement, controls over these terms where they conflict.

What the Site is for

The Site presents DACITE, its approach and its work, and lets you contact us. Nothing on it is an offer to sell securities, a solicitation to invest, an offer of employment, or a binding proposal. A deal exists only when both sides sign a definitive written agreement.

Using the Site

Use it lawfully and in good faith. Do not:

• probe, scan or test the security of the Site, or get around any access control;
• interfere with its operation, including through excessive automated requests;
• scrape, copy or republish substantial parts of it by automated means without our written permission;
• introduce malware, or submit content that is unlawful, infringing, deceptive or harassing;
• impersonate DACITE, its people or its brands, or imply an endorsement we haven't given.

If you find a security issue, we would rather hear about it: email privacy@dacitebrands.com. Good-faith research that respects these limits, avoids other people's data and gives us reasonable time to respond will not draw legal action from us.

Our intellectual property

The Site and everything on it, including the DACITE name, wordmark, D monogram, the fault-line device, text, photography, design and code, and the names, characters and story worlds of DACITE properties, is owned by DACITE Holdings LLC or its licensors and protected by copyright, trademark and other law. All rights are reserved. We grant you a limited, revocable, non-exclusive, non-transferable licence to view the Site and to make personal or internal business copies of its pages for reference. Everything else needs our written permission. Please do not alter, recolor or distort our marks.

What you send us

Information you send through the Site stays yours. You permit us to use it to evaluate and respond to your inquiry, as our Privacy Policy describes. Please do not send confidential or proprietary ideas, creative material or business plans through the contact form. We take ideas seriously, but unless we have signed an agreement with you, we receive unsolicited submissions on a non-confidential basis, we may already be working on something similar, and we owe you no payment or credit for ideas that resemble yours. If you want a confidential conversation, ask for an NDA first.

Our social channels

DACITE operates social media accounts. Your use of them is also subject to each platform's own terms. Comments and messages you post to our channels are yours, but you give us permission to display, quote and reply to them in the ordinary running of the channel. We may remove content or block accounts that are unlawful, abusive, deceptive or off-topic. Posts and replies on our channels are communications, not contractual offers or advice. To have your content or data removed, use the data deletion instructions.

Case studies and illustrative content

Descriptions of real work reflect our understanding at the time of publishing. Anything marked "illustrative" shows a format and not a real engagement or verified result. Statements about plans, brands and acquisitions are intentions, not promises, and can change.

Third-party links

Links to other sites are for convenience. We don't control them and don't endorse or accept responsibility for their content, products or policies.

Disclaimers

We work to keep the Site accurate and available, but it is provided "as is" and "as available." To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement, and that the Site will be uninterrupted, secure or error-free. Content on the Site is general information, not legal, financial, tax or investment advice.

Limit of liability

To the fullest extent the law allows, DACITE and its members, managers, officers, employees and licensors are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from your use of the Site. Our total liability for any claim relating to the Site is limited to US$100. Nothing here limits liability that cannot be limited by law, including liability for fraud or for death or personal injury caused by negligence.

Indemnity

You will defend and reimburse DACITE for third-party claims and reasonable costs arising from your breach of these terms or your unlawful use of the Site, to the extent the law permits.

Copyright complaints

If you believe material on the Site infringes your copyright, send privacy@dacitebrands.com a notice that identifies the work and the material, gives your contact details, states in good faith that the use is unauthorised, and states under penalty of perjury that you are authorised to act for the owner.

Suspension and changes

We may change, suspend or end the Site, or your access to it, at any time. We may update these terms; the effective date above shows the current version, and we will flag material changes on the Site. Continuing to use the Site after a change means you accept it. Sections that by their nature should survive, including intellectual property, disclaimers, liability and governing law, survive termination.

Governing law and disputes

Indiana law and applicable U.S. federal law govern these terms, without regard to conflict-of-law rules. Before filing a claim, you agree to contact us at privacy@dacitebrands.com and give us 30 days to try to resolve it. Any claim that remains must be brought in the state or federal courts located in Elkhart County, Indiana, United States, and you consent to their jurisdiction.

General

These terms and the Privacy Policy are the whole agreement about the Site. If a part is unenforceable, the rest stays in force. Our not enforcing a right is not a waiver of it. You may not assign these terms; we may assign them in a merger, sale or reorganisation. Notices to us go to privacy@dacitebrands.com.
